Arcos

Terms of Service

These are the terms every Arcos client accepts. They cover the Foundation and the Booster. Anything in the Arcos Ecosystem, such as managed ads, the voice agent, scheduling, automations or the dashboard, is agreed in a separate written order that references these terms for everything it does not itself regulate. Questions before you sign: arno@arcos.cloud.

Effective May 23, 2025. Last updated October 13, 2026.

These Terms of Service ("Terms") are a binding agreement between Malte Schade, an independent professional trading as Arcos, of An der Schanz 13, 40489 Düsseldorf, Germany ("Arcos", "we", "us", "our"), and you, the business purchasing or using our services ("you", "your", "the Client").

By purchasing, accessing or using any of our services, or by accepting these Terms when you sign up, you confirm that you have read and understood them and agree to be bound by them.

These Terms apply to businesses only. They are not offered to consumers. By accepting them you confirm that you are acting for purposes related to your trade or business, and that you are authorized to accept them on behalf of the Client.

These Terms take effect on the earlier of your acceptance or your first payment, and remain in force until your subscription ends.

Summary

This summary is provided for convenience. It is not the agreement. Where it differs from the numbered sections, the numbered sections apply.

  • $297 per month or $2,970 per year for the Foundation and the Booster. $197 per month or $1,970 per year for the Foundation alone.
  • Your first payment is taken when you sign up. Your billing start date is the day your services go live, or twelve days after you sign up if that comes first. Your next payment is thirty days later, or one year later on yearly billing.
  • No setup fee. No minimum term. No additional charges of any kind from us.
  • Cancel at any time. Cancellation takes effect at the end of the month or year you have already paid for.
  • You own your website, your domain, your Google Business Profile and your customer data.
  • If you cancel, you keep the website and the systems. We stop managing them, and running them becomes yours.
  • We will not publish anything about your business that you have not confirmed is true.
  • We will not write, buy, incentivize, filter or remove reviews.
  • Text messages sent from your business are legally yours. Section 10 sets out what that requires of you.
  • We cannot promise rankings, leads, calls or revenue, and we do not.

1. What you are buying

1.1 The Foundation: $197 per month

1.1.1 Professional Website. One website for your business, designed, written, hosted and maintained by us for as long as this agreement runs, including reasonable content changes under 1.4.

1.1.2 Google Business Profile. Setting up or claiming your profile, completing its fields, and keeping it up to date for you: hours, description, services, website and social links, photographs you supply, posts, and replies to reviews in your business’s name. Your business name, address, main phone number and main category stay as they are unless you ask us to change them. We tell you about the changes we make, and we stop making them whenever you ask. This requires you to grant us manager access.

1.1.3 Form-Fill AI Agent. An automated agent that responds to inquiries submitted through your website, asks qualifying questions, and passes the conversation to you. Subject to section 9.

1.1.4 Missed-Call Text-Back AI. An automated text message sent to a caller when a call to your business number goes unanswered. Subject to sections 9 and 10.

1.2 The Booster: $100 per month

1.2.1 Reviews Engine. An automated request sent to your customer after a job is marked complete, inviting them to leave a review, with one follow-up if they do not respond.

1.2.2 Review Hunting. Contacting past customers you identify to us and inviting them to leave a review. Subject to section 11.

1.3 The Booster is optional and cannot be purchased on its own, because it depends on the systems the Foundation provides.

1.4 Reasonable changes are included. New services, updated hours, replacing photographs and correcting details are covered by your fee. We will tell you before beginning anything outside this, such as a redesign, additional pages beyond the original scope, or a new feature. Nothing outside reasonable changes is chargeable unless you have agreed the price in writing first.

1.5 Not included: paid advertising and ad spend, print, vehicle or signage graphics, photography or video of your business, copywriting beyond your website, and logo design beyond the mark supplied with your site.

1.6 On our signup page, checkout and invoices, the Foundation and the Booster together are called the Foundation, and the Foundation alone is called Foundation Lite.

2. Fees and payment

2.1 $297 per month for the Foundation and the Booster together, or $197 per month for the Foundation alone. Paid yearly, the prices are $2,970 and $1,970 per year. All prices are in US dollars.

2.2 There is no setup fee and no minimum term.

2.3 There are no additional charges from us. Telephone, messaging and carrier costs incurred in providing the services are included in your fee and will not be billed to you separately.

2.4 Your first payment is taken when you sign up. We then hold your next payment while we finish your onboarding. Your billing start date is the day your services go live, or the twelfth day after you sign up if that comes first. Your next payment is taken thirty days after your billing start date, or one year after it on yearly billing, and on that day of each month or year after that, until you cancel. Payments are taken in advance using the payment method you provide. You authorize us to charge that method and agree to keep it valid.

2.5 If a payment fails we will notify you and try again. If it has not succeeded within seven days, we may suspend the services under 15.2. Suspension is not termination: your website, profile and data are retained and restored when payment is made.

2.6 We may change the price on thirty days’ written notice. If you do not accept the new price you may cancel before it takes effect, and the existing price applies until then. We will not change your price during your first six months. On yearly billing, a new price applies from your next renewal.

2.7 Fees do not include any tax that may apply where you are, and you are responsible for any such tax. German value added tax is not charged on services supplied to a business established outside the European Union.

2.8 If you wish to dispute a charge, please contact us first. Raising a chargeback without contacting us may result in suspension under 15.2.

3. Cancellation

3.1 You may cancel at any time by writing to arno@arcos.cloud from an email address associated with your account.

3.2 Cancellation takes effect at the end of the period you have already paid for. You keep the services until then.

3.3 We do not refund part-months, or the unused part of a year paid in advance. If you cancel partway through a month or year you keep the services for the remainder of it and are not charged again.

3.4 We may end this agreement on thirty days’ written notice. If we do, we will refund any period you have paid for and not received.

3.5 What happens to your website and systems on cancellation is set out in section 6.

4. What we will and will not promise

4.1 We will provide the services with reasonable skill and care.

4.2 We do not promise, and cannot promise:

  • any position in Google search results, Google Maps or any other ranking;
  • any number of leads, calls, inquiries, bookings, reviews or customers;
  • any increase in revenue;
  • any particular response time from an automated agent in every case;
  • that any third-party platform will approve, retain or continue to offer any account, listing or feature.

4.3 We will tell you plainly when something is not working, including when the cause is us.

4.4 Except as expressly stated in these Terms, the services are provided as they are and as available, without warranty of any kind. To the fullest extent permitted by law we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the services will be uninterrupted, error-free or entirely secure.

5. What we need from you

5.1 Access. You will grant the access needed to perform the services, including manager access to your Google Business Profile, access to your domain or DNS, and access to any telephone number used for the Missed-Call Text-Back. You retain ownership and primary control of all of these. You may withdraw access at any time, but we cannot provide the affected services without it.

5.2 Accuracy. You are responsible for the accuracy of everything you tell us about your business, and in particular for license, registration and certification numbers; insurance and bonding claims; years in business and ownership; hours of operation; service areas; prices; and any qualification, accreditation or membership.

5.3 We will not publish any of the items in 5.2 until you have confirmed them. Until you do, they appear on your website as a visible placeholder or do not appear at all.

5.4 Your content. You confirm that you own, or have permission to use, every photograph, logo, video, name, mark and piece of text you provide, and you are responsible if you do not.

5.5 Responsiveness. Some work requires a decision from you. The services continue to run while we wait, and fees continue to apply.

5.6 Acceptable use. You will not use the services to:

  • send unsolicited messages, or any message without the consent required by law;
  • send anything harassing, threatening, defamatory, fraudulent, obscene or otherwise unlawful;
  • publish a claim about your business that is untrue or that you cannot evidence;
  • breach the privacy of any individual, or any applicable privacy law;
  • promote unlawful activity, or activity that breaches carrier or platform policy;
  • resell or sublicense the services to a third party without our written consent;
  • attempt to circumvent security measures, rate limits or technical restrictions.

5.7 We may suspend or end this agreement where the services are used for anything listed in 5.6.

6. Ownership, and what happens when you leave

6.1 Your website. You own the finished website: the design as delivered, the copy written for your business, and the source files. We will provide the files on request at any time, and automatically within fourteen days of this agreement ending.

6.2 What your fee covers. The monthly fee covers running the website and the systems: hosting, maintenance, changes, the automated agents, the Google Business Profile work and the Reviews Engine. It is a service fee.

6.3 On cancellation you keep the website and the systems built for you. We stop managing them at the end of your final paid period. From that date you are responsible for running them, including hosting, any third-party software or platform subscriptions, all associated costs, and every future edit, fix and update.

6.4 We will provide your website files, your data, the access details we hold, and a written handover document within fourteen days of termination. Where a platform permits an account to be transferred to you, we will transfer it. Where it does not, we will tell you what you need to set up in your own name.

6.5 For thirty days after termination we will, at no charge, answer reasonable questions from you or your new provider about moving the website and systems. We will not perform further work on them during that period.

6.6 Your domain name is yours. Where we register one on your behalf we register it in your name wherever the registrar permits, and we will transfer it to you on request. We will not withhold a domain under any circumstances.

6.7 Your Google Business Profile is yours at all times. We act only as a manager on it, and our access ends when this agreement ends.

6.8 Your data. Every inquiry, lead, telephone number, message and customer record generated through the services is yours. We will export it to you in a common format on request and on termination.

6.9 Our materials. We retain ownership of our templates, code libraries, build and testing tools, processes and general know-how. Nothing in this agreement transfers them, and nothing prevents us using them for other clients.

6.10 Portfolio. We may show your website as an example of our work and describe what was done. You may withdraw that permission in writing at any time, and we will remove it within thirty days.

7. Third-party platforms

7.1 The services depend on platforms we do not control, including Google, telephone and messaging carriers, and our own suppliers.

7.2 We are not responsible for those platforms changing their rules, pricing, availability or features, or for their suspending or removing an account or listing, except where that occurs because of an error on our part.

7.3 Where you require your own account with a third party, we will tell you, and that party’s terms will apply to you directly.

8. Availability and support

8.1 We aim to keep your website available at all times. We do not offer a guaranteed uptime percentage and we do not offer service credits.

8.2 Interruptions may be caused by hosting providers, domain or DNS issues, carrier problems, third-party outages and maintenance. We will restore service as quickly as we reasonably can, and will give advance notice of planned maintenance likely to be noticeable.

8.3 Support is available by email at arno@arcos.cloud. We aim to respond within one business day. For anything that stops your telephone ringing or takes your website offline, contact us by the fastest means available and we will treat it as urgent.

9. The automated agents

9.1 The Form-Fill AI Agent and the Missed-Call Text-Back AI are automated. They generate replies without a person reviewing each one beforehand.

9.2 They can make mistakes. They may misunderstand, respond inappropriately, or fail to respond. We monitor and improve them, but we do not warrant that every reply will be accurate or appropriate.

9.3 They do not enter agreements on your behalf. The agents are configured not to quote prices, agree scope, or commit you to anything. If an agent nevertheless appears to promise something, it is not a binding offer by you or by us, and you should correct it with the customer directly.

9.4 Conversations are passed to you. Reviewing them is your responsibility and is how errors are caught early.

9.5 Where disclosure that a customer is communicating with an automated system is required by law, the agents are configured to disclose it.

9.6 You will tell us promptly if an agent says anything incorrect, misleading or inappropriate, and we will correct its configuration.

10. Text messaging

This section reflects United States messaging law, which imposes penalties per message and is enforced through private lawsuits. Please read it.

10.1 The Missed-Call Text-Back and the Reviews Engine send SMS text messages to recipients in the United States.

10.2 Those messages are sent on your behalf and in your business’s name. For the purposes of the Telephone Consumer Protection Act and comparable state laws, you are the sender.

10.3 You confirm that: (a) you have the legal right to send a text message to every number you provide or that enters the system through you; (b) where consent is required, you have obtained it and can evidence it; (c) you will not provide purchased, rented, scraped or otherwise third-party sourced lists of numbers; and (d) you will honor opt-outs and will not ask us to message anyone who has opted out.

10.4 United States carriers require message senders to be registered. Registration is made in your business’s name and with your information, because your business is the sender. We handle the process and the cost, and will not bill you for it.

10.5 We configure automatic opt-out handling, honor STOP requests immediately, include your business name in messages, and respect quiet hours where they apply.

10.6 If we receive a credible complaint, a carrier notice, or evidence that messages are reaching people who have not consented, we may suspend messaging immediately and without notice. We will tell you why.

10.7 You will indemnify us against any claim, penalty, fine, damages or reasonable legal cost arising from messages sent to numbers you provided or approved, where the cause is a lack of consent, an ignored opt-out, or inaccurate information from you. This does not apply where the cause is our own error or our failure to follow this section.

10.8 If you are unsure whether you hold consent for a particular list, tell us before it is used.

11. Reviews

11.1 We will ask your real customers, after real work, to leave an honest review, and will send one polite follow-up if they do not respond.

11.2 We will not, under any circumstances:

  • write a review for you or for anyone else;
  • buy, sell, exchange or incentivize reviews;
  • gate reviews, meaning ask how satisfied a customer is first and invite only the satisfied ones to post publicly;
  • filter, suppress or conceal negative reviews;
  • create false accounts, or ask anyone else to;
  • promise to remove a review from any platform.

11.3 Each of the practices in 11.2 breaches Google’s policies, and several breach United States Federal Trade Commission rules on consumer reviews. They place your profile at risk of removal.

11.4 We do not control what customers write. The Reviews Engine increases the number of honest reviews; it does not influence their content.

11.5 We reply to reviews on your Google Business Profile in your business’s name, as part of 1.1.2. Replying to reviews anywhere else is your responsibility unless separately agreed in writing.

11.6 If you ask us to do anything listed in 11.2 we will decline and explain why. If you insist, we may end this agreement under 15.4.

12. Confidentiality

12.1 Each party will keep the other’s confidential information confidential and use it only to perform this agreement.

12.2 This does not apply to information that is public, was already known without obligation, is independently developed, or must be disclosed by law.

12.3 This obligation continues for three years after this agreement ends.

13. Data protection

13.1 In providing the services we process personal data belonging to your customers, including names, telephone numbers, email addresses and message content.

13.2 For that data you are the controller and we are the processor. We process it only on your documented instructions, of which these Terms form part.

13.3 We will apply appropriate technical and organizational security measures, keep our personnel and subcontractors under confidentiality obligations, assist you with data subject requests so far as reasonably practicable, and notify you without undue delay of any personal data breach affecting your data.

13.4 We use third-party providers to deliver the services and will provide a list of them on request. We remain responsible for their performance.

13.5 We are established in Germany and your customers are in the United States, so data moves between the two. Each party will comply with the transfer rules applicable to it. Because we are established in the European Union, the General Data Protection Regulation applies to our processing.

13.6 You remain responsible for your own obligations to your customers, including maintaining a privacy notice and complying with any state privacy law that applies to you.

13.7 On termination we will return or delete your customer data as you instruct, except where we are required by law to retain it.

14. Liability

14.1 Nothing in this agreement limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited.

14.2 Subject to 14.1, our total liability for all claims arising in any twelve-month period is limited to the total fees you paid us in the twelve months preceding the claim.

14.3 Subject to 14.1, we are not liable for lost profits, lost revenue, lost business, lost goodwill, lost data beyond restoration from our most recent backup, or any indirect or consequential loss.

14.4 We are not liable for the acts or omissions of third-party platforms, or for a platform suspending or removing your account or listing, except where caused by an error on our part.

14.5 We are not liable for loss arising from information you provided that was inaccurate or incomplete.

15. Term, suspension and termination

15.1 This agreement runs from month to month, or from year to year on yearly billing, from the date it takes effect until either party ends it.

15.2 We may suspend the services in whole or in part if payment is overdue under 2.5, if a chargeback is raised without contact under 2.8, if messaging triggers 10.6, or if continuing would breach the law or a third-party platform’s rules. We will tell you why and restore the services once the cause is resolved.

15.3 Either party may end this agreement immediately, in writing, if the other materially breaches it and does not remedy the breach within fourteen days of being asked to, or becomes insolvent.

15.4 We may end this agreement immediately if you ask us to publish something we believe to be untrue, or to do anything listed in 11.2, and you insist after we have declined. We will refund any period you have paid for and not received.

15.5 Sections 6, 10.7, 12, 13.7, 14, 17 and this section survive termination.

16. Changes to these Terms

16.1 We may change these Terms on thirty days’ written notice to the email address on your account.

16.2 If a change materially disadvantages you and you do not accept it, you may cancel before it takes effect, and the previous version applies until then.

16.3 Changes do not apply retroactively.

17. Governing law and disputes

17.1 These Terms, and any dispute arising out of or in connection with them, are governed by the laws of the State in which the Client’s principal place of business is located, without regard to its conflict of laws rules.

17.2 The state and federal courts serving the county in which the Client’s principal place of business is located have exclusive jurisdiction, and both parties submit to that jurisdiction.

17.3 The United Nations Convention on Contracts for the International Sale of Goods does not apply.

17.4 Before commencing formal proceedings, both parties will raise the issue in writing and attempt in good faith to resolve it for at least thirty days.

18. Events outside reasonable control

Neither party is liable for failure to perform caused by an event genuinely outside its reasonable control, including outages at major platforms, carrier failures, natural events, war or government action. If such an event continues for more than thirty days, either party may end this agreement without penalty.

19. General

19.1 These Terms, together with your order confirmation, are the entire agreement between the parties and replace anything said or written beforehand. Nothing stated in a sales conversation forms part of this agreement unless it is recorded here or separately agreed in writing.

19.2 If any provision is unenforceable, the remainder continues to apply.

19.3 A failure to enforce a provision immediately is not a waiver of the right to enforce it later.

19.4 You may not transfer this agreement without our written consent, which will not be unreasonably withheld. We may transfer it to a person or company acquiring our business, on notice to you.

19.5 We may use subcontractors and remain responsible to you for their work.

19.6 Nothing in this agreement creates a partnership, joint venture, agency or employment relationship.

19.7 Notices to us go to arno@arcos.cloud. Notices to you go to the email address on your account. Email is sufficient for every notice under these Terms.

19.8 These Terms are written in English, and English governs their interpretation.
